ORIENTIS DISTRIBUTION LLC, a company incorporated under the laws of the State of New York, directly and indirectly creates and markets branded products KUSMI TEA as well as related accessories.
These general conditions of sale (hereinafter referred to as “the General Conditions of Sale” or the “CGV”) apply to all orders placed on the brand’s website. KUSMI TEA www.kusmitea.com (hereinafter referred to as the “Site”), unless expressly waived by ORIENTIS DISTRIBUTION LLC.
When a case is not dealt with herein, the distance selling rules of the ORIENTIS DISTRIBUTION LLC head office apply.
ORIENTIS DISTRIBUTION LLC reserves the right to modify the terms, conditions and notices of the General Terms and Conditions at any time. However, the General Terms and Conditions applicable to the order are those accepted by the Customer at the time of placing their order.
The fact that ORIENTIS DISTRIBUTION LLC does not avail itself at a given moment of any of the clauses of the General Conditions of Sale cannot in any case be interpreted as a waiver of the right to subsequently avail itself of any of said clauses.
If any of the provisions of these General Conditions of Sale are declared inapplicable, all of the other provisions will remain in force.
The General Conditions of Sale are supplemented by the General Conditions of Use of the Site concerning the technical modalities of access and navigation of the Site as well as by the Privacy Policy and the Cookies Policy available on the Site.
The General Terms and Conditions are accessible at any time via a link at the bottom of the page of the Site and on the order validation page. ORIENTIS DISTRIBUTION LLC invites the Customer to download and keep them.
1. Scope
The purpose of the General Conditions of Sale is to define the legal framework and the terms applicable to the sale by ORIENTIS DISTRIBUTION LLC of the products offered on the Site (hereinafter referred to as the “Product(s)”) to any consumer customer, natural person not acting in the context of a professional activity, aged at least 18 years old and having legal capacity (hereinafter the “Customer”). You must therefore read it before placing any order on the Site.
Any purchase on the Site implies respect and implies full, complete and unreserved acceptance of all of the General Terms and Conditions. If you do not wish to accept all or part of these, you are asked to abandon your purchase.
You acknowledge that the General Terms and Conditions constitute a complete and exclusive agreement between you and ORIENTIS DISTRIBUTION LLC concerning your order.

3. Personal account
Creation of a customer account : You can create an account via the “Connect” page accessible via the pictogram at the top right of the Site by entering your email address then clicking on “Continue”.
By creating your customer account, you acknowledge having read and unreservedly accepted the General Conditions of Sale as well as the Confidentiality Policy on the protection of personal data.
Login to customer account : You can directly access your account at any time by clicking on the “Connect” page, accessible via the pictogram at the top right of the Site by entering your email address then clicking on “Continue”.
To validate your registration or connection, you will need to enter the six (6) digit code received at the email address previously provided. This code can only be used once and expires fifteen (15) minutes after receipt.
4. Orders and validity of offers
Product Information
The Customer undertakes, prior to his order, to read, on the Site, the essential characteristics of the Product(s) he wishes to order.
A detailed description of the Products sold on the Site is available when viewing each of them individually on the Site.
Since the perfect representation of the Products on the Site cannot be fully guaranteed, in particular due to differences in color rendering by internet browsing software and/or display monitors, we invite you to refer to the description of each Product to find out its precise characteristics.
The system thus put in place requires an active approach on your part. It complies with the legal requirements for online sales and consumer protection.
ORIENTIS DISTRIBUTION LLC guarantees that the Products have been subject to all necessary care to ensure their compliance with the description which appears on the Site on the date of the order.
Ordering procedure
To order the desired Products, you have two (2) possibilities:
1. Either by entering the product sheet of the Product you wish to purchase by clicking on its photo, you select the desired packaging, then you click on “Add to cart”. Your choices will be automatically added to your basket,
2. Either by clicking directly on the "basket" pictogram, when the Product is presented (i.e. without clicking on the photo and entering the Product's product sheet), you select the desired packaging so that it is added directly to your basket.
The Products will be systematically added to your basket with the quantity “1” by default. You can then modify this quantity to order several Products of the same reference in the summary of your basket which will open automatically, according to the procedure below. You can also cancel one of the previously selected Products by clicking on the “DELETE” button to the right of the quantity selector.
Once you have added all the desired Products to the basket, click “Place Order” at the bottom right. You will then have the possibility to add a promotional code by entering said code in the dedicated “Discount code or gift card” space then clicking on “Validate” so that it is taken into account. Promotional codes and other temporary discounts cannot be combined.
You will then need to complete a form specifying certain mandatory fields. Your selection will only be taken into account upon submission of this duly completed form.
To finalize your order, you will need to check the summary on the right of the page then check the box “JI acknowledge having read and accepted the General Conditions of Sale and the Privacy Policy and confirms my order with payment obligation.” and click “Pay Now” or “Check Out as Guest.”
Your order cannot be modified or canceled once you have received the email confirming your order. However, you will be able to change your delivery address for two (2) hours after placing your order.
Order acceptance
You acknowledge having been able, before concluding the contract, to know the essential characteristics of the Products (nature, quantity, substantial qualities, etc.), their price, the payment methods accepted, the delivery time and restrictions, the time limit, the conditions and the terms of exercise of the right of withdrawal of the Products as well as the cases of exclusion from the exercise of this right (for more information on the exercise of this right see article 9 below).
To enable the validation of your order, it is necessary on the one hand to recognize that placing your order entails the obligation to pay it in full and on the other hand to read and expressly accept the General Conditions of Sale by checking the associated box then clicking on the "Pay now" or "Pay as guest" button. Checking the box mentioned above is an essential condition for the validation of your order.
Filling in the required information on the Site, paying for your order and confirming it by clicking on the “Pay now” or “Pay as a guest” button constitutes full acceptance of these General Conditions of Sale. The latter will only be applicable to the contract thus concluded.
ORIENTIS DISTRIBUTION LLC undertakes to honor orders placed on the Site, subject to the limitations stipulated below, and in particular within the limits of available stocks, in the terms hereof which you declare to have consulted and accepted when validating your order.
Any order will only be taken into consideration after receipt of full payment for the Products and will be confirmed by ORIENTIS DISTRIBUTION LLC by e-mail.
You will be able to find in the order confirmation email that will be sent to you the number of your order, the details of the Products ordered as well as the information allowing you to follow the preparation and delivery of the Products. You will also be able to view and track this information in your customer account in the “My orders” section.
Limitations
In the event of a stock shortage, ORIENTIS DISTRIBUTION LLC undertakes to inform you by post to the email address you have indicated, as soon as possible. ORIENTIS DISTRIBUTION LLC will then offer you a refund of the amount of the out of stock Product, via the payment method used when placing your order. ORIENTIS DISTRIBUTION LLC may also inform you of the supply times necessary to obtain the desired Product or will offer you a replacement Product of equivalent value.
ORIENTIS DISTRIBUTION LLC being unable to manage backorders, if a Product is out of stock without a specific restocking time, ORIENTIS DISTRIBUTION LLC will offer you a refund for the Product ordered, via the payment method used when placing your order.
ORIENTIS DISTRIBUTION LLC reserves the right to refuse, limit or cancel orders that are non-compliant, suspicious, or placed in bad faith or in violation of the General Terms and Conditions as well as to refuse any order from a Customer with whom there is any previous or ongoing dispute.
The Products and samples offered on the Site are exclusively intended for personal use. Consequently, you agree not to sell or resell the Products and samples that you purchase or receive. ORIENTIS DISTRIBUTION LLC reserves the right to refuse or cancel any order placed by a professional or intended for a commercial activity.
Permanent offers (excluding the purchase of Gift Cards and e-Gift Cards)
Samples : For any purchase without a minimum order amount, two (2) samples are offered to you free of charge (excluding orders delivered via click & collect). You can select them in “My cart” once you have added one or more Product(s) to the cart, by clicking on “Select your free samples” then checking up to two (2) samples. Samples cannot be subject to any refund or compensation. If you do not select your samples, the order will not include a sample.
From 69.00 (sixty-nine) dollars of purchase : Standard shipping available in the United States. Offer combinable with all permanent offers set out in this article according to the applicable conditions.
Bulk refill offer : Decreasing price on the refill of the tea of your choice: a discount of 15% on the price per kilo from two (2) refills of 100g (i.e. 200g), 20% on the price per kilo from three (3) refills of 100g (i.e. 300g), and 25% on the price per kilo from five (5) refills of 100g (i.e. 500g). Offer valid on the purchase of several refills of the same reference in one go. Offer not valid on Le Thé Blanc Alain Ducasse refills, Petit déjeuner à l'Elysée, Matcha and Karavan.
For members KusmiKlub : Offer sent on your birthday by email (“birthday email”), subject to having entered your date of birth in your account KusmiKlub. On your birthday: one (1) box of tea Kusmi Tea 20g offered from the selection within thirty (30) calendar days from your birthday, for any purchase (excluding purchases with points KusmiKlub) of a minimum amount indicated in the anniversary email.
The terms are as follows:
- for any purchase in stores Kusmi Tea located in mainland France (excluding corners and department stores), in Belgium or in Luxembourg upon simple presentation of the birthday email;
- for any order on the Site by indicating the single-use code which will have been sent to you in the birthday email in your basket when you place your order, in the reserved “promotional code” box.
At the end of the thirty (30) day period following receipt of the birthday email, the offer will no longer be valid and no compensation or compensation can be claimed in this regard.
The gift is neither exchangeable, nor refundable, nor transferable and cannot be the subject of any compensation.
In the event of unavailability, for whatever reason, ORIENTIS DISTRIBUTION LLC reserves the right to provide a similar product in store, or to send via the Site. of his choice and without this giving rise to any compensation.

5. Price
The prices displayed are expressed in USD, all taxes included (VAT and all other taxes according to the applicable rates in effect at the time of the order).
These are net prices which include the price of the Products, handling, packaging and conservation costs. Prices are valid on the date the order is validated. These may be modified subsequently, without notice. Prices do not include participation in postage and delivery costs which may vary depending on the amount, weight of the order and/or country of delivery (Deliveries and Returns) which are indicated before validation of the order by the Customer.
The price indicated in the order confirmation is the final price expressed including tax for deliveries in mainland France.
If one or more taxes or contributions, particularly environmental, were to be created or modified, upwards or downwards, this change may be reflected in the selling price of the Products.
Any order delivered outside mainland France (Corsica included) may be subject to possible local taxes and customs fees in addition, not included in the price of the Products or in the order confirmation, and remain the sole responsibility and expense of the Customer. Indeed, possible customs taxes may be requested by the carrier at the time of delivery. These possible customs duties and taxes linked to the delivery of an item are the responsibility of the Customer and are their sole responsibility.
Under no circumstances will ORIENTIS DISTRIBUTION LLC be required to bear additional costs linked to the delivery of the order excluding transport charges, described and invoiced when concluding your order on the Site.
6. Payment terms
Payment for Products purchased on the Site is made in full when ordering.
Payments are made by:
v Bank card : Master Card, Visa, American Express, Bank card. Your credit card will be debited when your order is confirmed (outside the USA).
v PAYPAL : by selecting this payment method, you will be redirected to the PAYPAL website in order to make the payment following the instructions provided.
v KLARNA : by selecting this payment method, you will be redirected to the KLARNA website in order to make the payment following the instructions provided.
v APPLE PAY : by selecting this payment method, you will be asked to validate your payment via the Apple Wallet interface using one of the authentication methods offered by Apple (Face ID, Touch ID or access code). Apple Pay encrypts all the information you provided when registering your card in the Apple Wallet app. For more information on the security of transactions between Apple Pay and your banking institution, we invite you to contact Apple.
v Gift card or e-Gift card (whose general conditions of use are described in article 12 below).
The Customer guarantees ORIENTIS DISTRIBUTION LLC that he has the authorizations that may be necessary to use the payment method he has chosen. To this end, you guarantee in particular that you are the holder of the bank card to be debited and that the name appearing on it is indeed yours.
ORIENTIS DISTRIBUTION LLC reserves the right to suspend any order management or delivery in the event of unpaid or payment incident (false bank details, failure to fund the Customer's account, etc.).
A paid invoice listing the different elements of the order will be sent to you by email. This invoice will also be available in your customer account in the “My orders” section, by clicking on the “Download invoice” button on the selected order the day after the order is placed.
7. Payment security
The payment security protocol used is Shopify Payments, provided by Shopify International Limited (Private Irish Company Limited by Shares (Private company limited by shares), registered with the Irish Companies Register under number 560279 and whose registered office is located at 2nd Floor Victoria Buildings, 1-2 Haddington Road, Dublin 4, D04 XN32, Ireland) which guarantees total confidentiality of personal information transmitted over the Internet. Thus, information relating to your bank card is not stored on the Site and your payment can only be viewed in encrypted form using the protocol SSL and are PCI-DSS Level 1 compliant (confirmed by the appearance of “https” in the displayed URL of your browser).
Payment security in 3 installments is ensured by Alma and its service providers. All payments are protected by 3D Secure. Alma SAS is approved as a payment institution and financing company by the Prudential Control and Resolution Authority (ACPR) under number 90786, which can be consulted on the REGAFI register: https://www.regafi.fr. Its head office is located at 176, Avenue Charles de Gaulle, 92200 Neuilly-sur-Seine (RCS Nanterre 839 100 575). The Customer's personal data is processed and stored in accordance with the GDPR. You have, at any time, a right of access, rectification, and opposition to all of your personal data by writing and providing proof of your identity in accordance with article 15 below.
8. Delivery terms
Delivery means the transfer to the Customer of physical possession or control of the Product(s).
8.1 Delivery
ORIENTIS DISTRIBUTION LLC delivers to several countries. For more details, please click here.
No delivery can be made to a country not appearing on this list, nor to post office boxes. If this were the case, the order cannot be taken into consideration.
Delivery times : The Products are delivered within an average of four (4) working days, including the order preparation time, in the United States. It is specified that orders recorded on the Site on Friday afternoon, Saturday or Sunday will only be processed the following Monday. Furthermore, orders placed on the Site on a public holiday will only be processed the following working day.
In the event of exceptional operations (e.g. private sales, sales, etc.) organized by ORIENTIS DISTRIBUTION LLC or by a third party partner, on the Site, the Products will be delivered within six (6) working days in mainland France (Corsica included).
Delivery costs : Delivery costs are your responsibility and are added to the price of the Products. They vary depending in particular on the delivery method chosen, the country of destination, as well as the amount and, where applicable, the total weight of the order.
All delivery terms (areas served, indicative times, delivery methods offered, and associated costs) are specified on the page “ Delivery and returns », accessible at any time via a link at the bottom of the page of the Site. You are invited to read it before placing your order.
In the event of an offer of free delivery or reduction in delivery costs linked to a promotional operation or the reaching of a certain order amount, this information is specified on the Site at the time of placing the order and, where applicable, on the page “ Deliveries and returns ».
Delivery address: The order is delivered to the delivery address you chose and provided when placing your order. You have the option to enter a delivery address different from your billing address. The information indicated and recorded when ordering is binding on you. In the event of an error in the wording of the recipient's contact details, ORIENTIS DISTRIBUTION LLC cannot be held responsible for the impossibility in which it may be able to deliver the Product(s) following this error and, in this case, ORIENTIS DISTRIBUTION LLC will not be able to make a second delivery. In addition, the price of the order may be refunded to you, after receipt of the return package at the ORIENTIS DISTRIBUTION LLC warehouse.
Risk transfer : The Products travel at the risk of ORIENTIS DISTRIBUTION LLC. The risk of loss or damage to the Products is only transferred to the Customer at the time of delivery of the Products to the address indicated by the latter.
The Customer is required to check the apparent condition of the package and the Products upon delivery.
Anomalies : In the event of an anomaly (damaged package, missing or damaged Products, etc.), the Customer must formulate any useful reservations with the carrier and inform ORIENTIS DISTRIBUTION LLC as soon as possible by email to the following address: contactfr@kusmitea.com.
The absence of reservations upon delivery does not affect the Customer's rights under the legal guarantees of conformity and hidden defects, as recalled in article 10 of these General Terms and Conditions.
In the event that the damage is attributable to transport, ORIENTIS DISTRIBUTION LLC will offer the Customer repair or replacement of the Product, or, if these solutions prove impossible or disproportionate, total or partial reimbursement of the price paid.
The return of any damaged or non-compliant Product within the framework of legal guarantees cannot be refused by ORIENTIS DISTRIBUTION LLC. For any other returns, the Customer is invited to contact customer service in advance in order to organize the return arrangements.
8.2 Click & Collect – Collection in store
ORIENTIS DISTRIBUTION LLC offers, for a selection of Products identified by a sticker “Available in Click & Collect” on the product sheet, collection of the Order in certain stores KUSMI TEA located in mainland France, Belgium and Luxembourg.
If one or more Product(s) in your basket are not eligible for the “click & collect” service, this delivery option will not be suggested when choosing your delivery method when finalizing your order and only standard delivery methods will be offered to you.
Two (2) samples offered in your order at random.
Once your basket is completed, when choosing your delivery method when finalizing your order, select the “Collect in store” option and choose the store in which you wish to collect your order from the selection offered.
Once your order is finalized, you will receive an order confirmation by e-mail, to the address you have indicated, specifying the number of your order, the list of Products ordered and their prices, the total amount of your order, the delivery time of your order as well as the contact details and opening hours of the store you have selected. You can monitor the progress of your order at any time by logging into your customer account.
The standard delivery time for your order is twenty-four (24) hours depending on the availability of the products ordered in store. Despite all the care taken in preparing orders, it may be that one or more Product(s) in stock at the time of your order are no longer in stock at the time of preparation.
To collect your order in store, present your order confirmation (SMS, email or printed confirmation) as well as your valid ID directly at the checkout.
The Customer has one (1) month to collect their order from the store concerned. After the period of one (1) month from the message informing you that your order is made available to you for collection in store, the sale will be automatically canceled. The Customer will then be refunded the price of the order.
9. Right of withdrawal
Without prejudice to any mandatory right from which you may benefit under the consumer protection laws applicable to you, you have a right of withdrawal from the Products which you may exercise within a maximum period of fourteen (14) clear days from the day of receipt of the Products concerned or from receipt of the last Product referred to in your order if it has been delivered in several installments, without having to justify the reason. When the fourteen (14) day period expires on a Saturday, Sunday or public holiday, it is extended until the first following working day.

Upon receipt of your request, our customer service will contact you using the contact details provided in the Form in order to organize the arrangements for returning the Products.
Return via your customer account:
You can make your request directly from your customer account, in the “My orders” section, using the “Request a return” button integrated into your order history.
Process:
1. Log in to your customer account then navigate to the relevant order.
2. Click on the “Request a Return” button.
3. Select the item(s) you wish to return, enter the reason, then click the “Request a Return” button.
4. An e‑mail summary of your request is automatically sent to you.
5. Our customer service examines the validity of the request; a confirmation email will then be sent to you with return instructions.
Regardless of the method of exercising the right of withdrawal, packages must be returned to the following address:

Return costs remain the responsibility of the Customer.
In the event of withdrawal in accordance with these provisions, reimbursement will take place within fourteen (14) days from the date of notification of your return request and at the latest on the day of effective recovery of the Products by ORIENTIS DISTRIBUTION LLC or on the day on which you provide proof of shipment of the Products. It will be made via the payment method used during the purchase, with the exception of Products purchased using a Gift Card or e-Gift Card KUSMI TEA for which reimbursement will be made under form of a new e-Gift Card, valid for one (1) year from its date of issue. A refund confirmation email will be sent to you.
As part of the loyalty program, the conditions of which are detailed in our General Conditions of Membership in the loyalty program “KusmiKlub », If you exercise your right of withdrawal, the loyalty points acquired when placing an order will be removed from your customer area as soon as Customer Service has approved your return request and the Products have been refunded to you, unless you have already used the voucher acquired with the corresponding points.
Reimbursement can only be made if the return request and the sending of the Products have been made within the time frame and conditions referred to above and the Products are returned in perfect condition, in their original packaging, accompanied by all possible accessories, instructions for use and documentation.
Certain Products may not be eligible for return for reasons of health protection or hygiene when they have been unsealed and/or mixed inseparably with other Products, when they have been made according to the Customer's specifications or clearly personalized or when they are Products likely to deteriorate or expire quickly. Any exceptions to the right of withdrawal are indicated on the Site at the time of the order.
For e-Gift Cards KUSMI TEA (whose general conditions of use are described in article 12), the right of withdrawal of the Products can only take place on the condition that the e-Gift Card KUSMI TEA has not been used in whole or in part.
Only the Customer is able to exercise this right of withdrawal. In the event that delivery was made to a person other than the customer, this right cannot be exercised by the said recipient of the order concerned.
If you made a donation through the L'ARRONDI solution, the amount cannot be returned if you exercise the right of withdrawal.
When an order has been placed with a promotional code offering a discount linked to the simultaneous purchase of a predetermined number of items, the return of one or more item(s) may have the effect of ending the discount when the number of items necessary for the application of the discount is no longer reached. The refund made will then take into account the fact that the discount is no longer applicable.
10. Guarantees
ORIENTIS DISTRIBUTION LLC guarantees that the Products delivered comply, in all material respects, with the description given on the Site and that they are free from material manufacturing defects at the time of their delivery.
However, you are solely responsible for the choice of Products and their conservation following delivery and use. Under no circumstances can ORIENTIS DISTRIBUTION LLC guarantee that the order meets your specific expectations.
These stipulations do not exclude the right of withdrawal defined in article 9 above.
Exclusion of guarantees
Excluded from the warranty are items modified, repaired or added by the Customer. The warranty will not apply for apparent defects. The warranty will not cover items damaged during transport or due to misuse.
11. Reservation of title
Subject to the mandatory rights you benefit from under applicable law, the Products delivered to you are sold subject to retention of title. The transfer of ownership is subject to full payment of the price of the Products, on the due date agreed between the parties. The Products therefore remain the property of ORIENTIS DISTRIBUTION LLC until full payment of the orders.
In accordance with articles L. 216-4 and L. 216-5 of the Consumer Code, the above stipulations do not prevent the transfer to the Customer, at the time of delivery, of the risks of loss or damage to the Products subject to the retention of title.
12. Gift Cards and e-Gift Cards KUSMI TEA
The Customer has the option of purchasing gift cards or e-gift cards to offer or to treat themselves.
These conditions concern the terms of purchase, use and validity:
· of a gift card KUSMI TEA (referred to as the “Gift Card KUSMI TEA ) available in stores only (excluding corners and department stores), located in mainland France, in Belgium and Luxembourg (hereinafter the “Shops”);
· and a e-gift card KUSMI TEA available on the Site only (referred to as the “e-Gift Card KUSMI TEA »).
Purchasing Gift Cards and e-Gift Cards KUSMI TEA
Gift card of a predefined amount of your choice: €30 (thirty euros), €60 (sixty euros) or €100 (one hundred euros) available in stores KUSMI TEA located in mainland France (excluding corners and department stores), in Belgium and Luxembourg.
E-Gift Card available for purchase on the Site for a predefined amount of your choice: €30 (thirty euros), €60 (sixty euros) or €80 (eighty euros).
Dematerialized e-gift card sent to the email address designated by the Customer at the time of purchase) immediately after purchase. In the event of exercising the right of withdrawal of the Products under the conditions defined in article 9 above, this may only apply on the condition that the e-Gift Card KUSMI TEA has not been used in whole or in part.
ORIENTIS DISTRIBUTION LLC declines all liability relating to a Gift Card or e-Gift Card KUSMI TEA previously activated and which is expired, lost, stolen or damaged as well as in the event of an error, particularly in the email of the beneficiary of the e-Gift Card, or fraudulent use of the code.
